We treated it as a DevOps problem instead of a legal one. OAuth with GitHub/GitLab/whatever tool you use, automated daily syncing, done. Plus our legal team handles all the paperwork so you never have to sit in those calls explaining technical requirements to lawyers.

What is software escrow: Your clients want to make sure they can keep using their software even if your company stops supporting it. So they require you to deposit a copy of your source code, build instructions, and documentation with a neutral third party. The client only gets usage rights - they can't sell or distribute your code. If something happens and you can't provide support anymore, that third party releases the copy to your client so they can maintain the software themselves or hire someone else to do it.
